Ginsberg Jacobs’ Corporate Practice Group offers creative and constructive solutions to companies in all stages of the business life cycle. Our Corporate attorneys regularly service clients ranging from Fortune 500 companies to high-growth start-ups. We routinely negotiate against the other top firms in the country and many of our attorneys worked previously at AmLaw 100 firms.
Some of our business services include:
- Helping clients choose the right forms of legal structure, such as partnerships, corporations, limited liability companies, and limited partnerships;
- Advising boards of directors on business and governance decisions;
- Structuring joint ventures, strategic alliances, shareholder agreements, and other partnering arrangements; and
- Drafting, negotiating, and reviewing employment, distribution, manufacturing, licensing, outsourcing, supply, and other agreements.
Our attorneys have extensive experience representing public and private companies, private-equity firms, and venture capital backed companies with all aspects of their M&A transactions, and have broad experience in acquiring distressed companies. Our clients engage in a wide range of industries, and routinely call upon us to handle an extensive variety of transaction structures and sizes.
Our attorneys also have deep experience and skill in the representation of venture-backed start-ups in all aspects of their legal needs and have helped many of our clients obtain angel, venture capital, and private equity financing. More specifically, the head of our corporate group spent sixteen years in Silicon Valley representing these types of companies.
