Commercial Finance Practice Group
Ginsberg Jacobs LLC’s Commercial Finance Practice Group provides a full range of finance-related services related to financial institutions, finance companies, publicly-traded corporations, hedge funds, equity sponsors, and real estate developers.
The Commercial Finance Practice Group represents both borrowers and lenders in a wide range of commercial and real estate related financings and restructurings. We represent clients in all stages of lending transactions and often advise on the structure of both middle market transactions and complex multi-layer and multi-lender transactions.
Ginsberg Jacobs LLC’s lender clients include many national, regional, and community banks, including three of the five largest Chicago-based financial institutions.
Commercial Real Estate Finance
Our Commercial Real Estate Finance attorneys routinely represent lenders in connection with term and construction financing for all types of real property, including hospitality, retail, office, multifamily, industrial/logistics, and mixed use.
The Commercial Real Estate Finance Practice Group has considerable experience with multi-lender transactions. We regularly represent agents, co-lenders, and participants in multi-bank facilities. Our attorneys are also well experienced at documenting mezzanine loans and preferred equity investments, and handling various inter-creditor issues and negotiations.
Commercial Finance
Our Commercial Finance attorneys represent lenders in a wide array of loan transactions. We regularly counsel clients in transactions involving asset-based collateral, cash-flow collateral, equipment leasing and lending, franchise finance, and healthcare lending transactions.
Drawing upon many of our attorneys’ prior in-house experiences, we are better able to advise clients on loan structuring issues. We also lever our experience with distressed lending transactions, including matters related to insolvency and commercial bankruptcy, to document, structure, and negotiate the origination of these loans.
Tax Credit Finance
Ginsberg Jacobs represents lenders, investors, and financial institutions in connection with investments, leveraged loans, and real estate and construction financing for projects utilizing various tax credits, including, New Market Tax Credits, Historic and Rehabilitation Tax Credits, and Low Income Housing Tax Credits.
Drawing upon the expertise of its nationally-renowned tax credit practice, the Firm’s attorneys are able structure and document these transactions and provide their clients with the knowledge that they need to best understand and maximize the benefits of these transactions. The Firm’s attorneys are frequently called upon to lead conferences and seminars and to provide in-house presentations to the Firm’s lender clients in connection with tax credit financing.
Loan Restructuring and Workouts
Ginsberg Jacobs’ Finance Group has extensive experience with workouts and restructurings of various types of loan obligations.
The Firm’s attorneys represent their finance clients in connection with various types of transactions involving non performing or distressed assets, including forbearance arrangements, deed in lieu transfers, restructurings, and modifications, and involuntary and voluntary liquidations, including assignments for the benefit of creditors, UCC sales, and receiverships. Additionally, the Firm’s bankruptcy attorneys have experience representing creditors in all aspects of insolvency and bankruptcy actions and are regularly involved in sales and transfers out of bankruptcy, including Section 363 sales.
Distressed Debt Resolution & Dispositions
Ginsberg Jacobs assists its finance clients with both the sale of distressed debt obligations and Other Owned Real Estate (OREO). In the area of debt sales, the Firm’s attorneys have particular experience with the structure and negotiation of both direct and brokered loan sale transactions, including portfolio sales.
The Firm’s attorneys’ expertise in this area allows them to best protect their clients, and they have handled sales of numerous assets that involved troubled underlying collateral. Drawing upon the Firm’s experience with real estate transactional matters, Ginsberg Jacobs assists its clients with OREO sale transactions. Understanding the potential risks and requirements for OREO properties, the Firm provides timely and skilled representation allowing its clients to dispose of these assets in an efficient and effective manner.
