Ginsberg Jacobs LLC’s real estate practice provides experienced and customized advice in a broad range of real estate areas. We are client-oriented. Our aim is to assist the client from conception and planning to the development and ongoing management of real estate and real estate related deals. The real estate practice group works in concert with the other talented legal experts at Ginsberg Jacobs to advise clients on a broad spectrum of real estate and corporate transactions, including financings, acquisitions and sales, exchanges, development and construction projects, joint ventures, property and hotel management, leasing, debt restructuring and workouts, land use and related tax matters.
Finance and Restructuring
Finance, including complex structured debt financing, is a substantial segment of the Ginsberg Jacobs practice.
We regularly represent institutional lenders and borrowers in finance transactions involving all types of real property collateral, including acquisition, development/construction and permanent financing, mezzanine lending, structured finance, tenant-in-common financing, and loan syndications and participations. Our attorneys also advise on debt restructuring and reorganization outside of bankruptcy for lenders and borrowers alike. We focus on workout solutions, with litigation as a secondary, not primary, strategy.
Ginsberg Jacobs LLC’s lender clients include many national banks and other lending institutions, including a subsidiary of one of the nation’s largest financial holdings companies, and one of the largest commercial banks in the Midwest region. We also regularly assist our developer clients in financing their projects, from solicitation to negotiation of terms through funding.
Acquisitions and Sales
We know our clients like to close their deals and we do too. Traditional real estate purchase and sale transactions are a significant part of Ginsberg Jacobs’ real estate practice.
Our attorneys regularly represent sellers and purchasers in Illinois and most of the other 50 states in connection with the sale or purchase of multi-tenant apartment buildings, retail and office complexes, hotels and resorts, shopping centers, and industrial and manufacturing facilities, including portfolio sales. We assist our clients in all aspects of purchase and sale transactions – structuring and negotiating terms, and coordinating thorough and cost-effective due diligence, the entitlement process, including zoning, title review and closing.
Ginsberg Jacobs’ real estate practice has specific expertise in the sale and acquisition of multi-family, mixed-use, office, industrial and hotel properties. Our practice includes acquisition and sales, financing, development, leasing, entitlements, and ongoing property management, and the disposition of all types of commercial, office, logistics, industrial, and hotel properties.
The firm’s real estate practice also includes expertise in the unique legal issues that arise from environmentally contaminated properties, and has represented owners, purchasers, and tenants in connection with risk assessment, negotiation of responsibility for ongoing reporting and remediation requirements, indemnification, property access, and third-party liability issues.
Our real estate attorneys represent a number of multi-family owner/operators, including one of the largest real estate investment trusts in the country, in connection with the disposition of multi-tenant apartment buildings, including projects involving HUD financing. We also represent entrepreneurial real estate investment and development companies with a particular focus on hotel properties.
Ginsberg Jacobs’ real estate practice has a particular expertise in the sale and acquisition of hotel properties.
Our real estate attorneys have been involved in hotel projects throughout the US, including: Illinois, New Jersey, New Mexico, California, Colorado, Florida, South Carolina, Nevada, Wisconsin, Minnesota, North Carolina, Missouri, Hawaii, Michigan, New York, Mississippi, Georgia, and Iowa. Our hospitality practice includes acquisition/disposition, financing, development, leasing, zoning, and ongoing property management of all types of hospitality properties. We have also negotiated a number of management and franchise agreements with the largest hotel franchisors in the world on behalf of our owner clients.
Leasing & Land Use
Ginsberg Jacobs’ leasing work spans all major real estate markets and is national in scope. We offer a high level of sophistication and extensive experience to landlord and tenant clients, with a particular focus on retail, industrial, telecom, and office leasing.
We regularly represent institutional and entrepreneurial clients in the leasing of a variety of types of real estate including commercial, office, industrial, and residential properties. We understand that leases provide a foundation for an ongoing business relationship between our client and the other lease parties, which impacts our client’s bottom line.
The firm’s leasing practice includes a particular expertise in telecom leasing and negotiation with urban and rural municipalities and school districts, including the representation of our clients before municipal zoning boards.
